Help identifying robot manga

All right, I had forgotten about this manga until now but I really enjoyed it when I read the first volume. All I can do is describe it for you, but please, someone has to know this! O_O

Stuff I remember:

Aliens contact Earth and become our allies, but just when they've really gained our trust, they catch us off guard and basically take over the world. The story is about a kid who has to fight the aliens. An old professor (possibly the kid's uncle or grandfather or something, I don't remember) gives him a suit and a robot-girl to help him, and the robot girl can turn into (I think) a plane or a space ship or something, and it's really weird; the way she transforms is basically that her boobs elongate and take the shape of whatever she's turning into.

I also remember something about a teacher or professor, female, one of the aliens, and she was not aware of the invasion, so there was a lot of emotional and ethical stuff there.

Anyone recognize it yet? I don't remember anything else off the top of my head. I'm not sure, but I think it *might* have had giant robots in it.

Also, if there is an anime of this, please tell me! All I ever saw was the first volume of the manga.

EDIT: Dunno if I need to add this, but the aliens are humanoid except I believe their eyes are completely black.

Kenichi Sonada also made Gunsmith Cats.  If you're familiar with that work, you know he's not for audiences of all-ages.  You can't really tell from the 1st volume of Exaxxion, but the book gets pretty ecchi.  Not quite Gantz level, but definitely not a shonen book.
